Marketing Services Agreement

This Marketing Services Agreement ("Agreement") applies to Go-to-Market (GTM), cold start, content marketing, channel expansion, and related growth services ("Marketing Services") provided by NowBuild through the Startup Agent.

This Agreement supplements the Terms of Service. For marketing-specific matters, this Agreement controls in case of conflict.

Marketing Services support market activities **after your MVP or usable product is live**, and may include (per your plan):

• GTM strategy • Audience and channel analysis • Cold-start planning and execution support • Marketing copy, landing pages, and asset drafts • Early metrics review and iteration

Exact scope, timeline, and deliverables are defined in your order, quote, or written confirmation.

You represent that:

• Product and business information provided to the Agent is truthful and lawful • MVP or core functionality is accessible or demo-ready (unless agreed otherwise in writing) • You have rights to brand, domain, and content used in marketing • Your product is lawful and not in a prohibited category we reasonably determine

If prerequisites are not met, we may refuse or pause services without breach liability.

Marketing Services require your timely cooperation:

• Provide brand assets, product details, pricing, and target market info • Review and approve Agent drafts within reasonable time • Complete actions only you can perform (e.g., posting, ad account funding) • Do not request false, misleading, or infringing campaigns

Delays caused by you extend timelines without our liability.

You grant us a non-exclusive, revocable license to use your trademarks, logos, screenshots, and copy solely to perform Marketing Services.

You warrant you have rights to provided materials and will indemnify us for infringement claims arising from your materials.

Upon payment, you may use Agent marketing deliverables for your business; we retain generic methodology rights.

Services may use third-party platforms (search, social, ad networks, app stores). You acknowledge:

• Platforms have their own terms, policies, and fees • Ad spend is yours unless explicitly included in a quote • We are not liable for bans, rejections, or algorithm changes • You must comply with platform advertising rules

Fees are as listed on NowBuild.ai, your order, or written quote. Pay on schedule; we may pause for late payment.

Unless agreed otherwise, fees are non-refundable. Reasonable costs already incurred may be deducted if you cancel.

Price changes apply to new orders; active orders follow original terms.

**Important**: We execute Marketing Services professionally per scope but **do not guarantee** specific outcomes, including user counts, downloads, signups, revenue, rankings, followers, funding, or partnerships.

Results depend on product, pricing, competition, budget, and cooperation. You bear market risk and must make your own decisions.

Both parties will keep non-public business information confidential, except where disclosure is legally required or information is public.

We may use service and performance data to improve offerings per our Privacy Policy. If you use end-user data in marketing, you must have lawful consent and comply with privacy laws.

Either party may terminate per the Terms of Service or written notice. Fees for work performed remain due; delivered work may be used after payment.

Disputes follow the governing law and dispute terms in the Terms of Service.
