Terms of Service

By accessing or using NowBuild's website, open-source SaaS kit, Startup Agent, and related services (collectively, the "Services"), you agree to these Terms of Service ("Terms"). If you disagree, do not use the Services.

These Terms apply to all visitors and users. By using the Services, you confirm you are at least 18 and have legal capacity to enter these Terms.

NowBuild provides two related services with clear boundaries:

**(1) Open-source SaaS kit**: A production-ready Next.js scaffold you may fork, modify, and use to build your SaaS/MVP, including auth, payments, database, SEO, and i18n.

**(2) Startup Agent**: Lifecycle support excluding product coding—upfront PRD, design specs, business plans, and post-MVP Go-to-Market cold start and marketing assistance.

**Division of labor**: You build on the kit (coding or -coding). The Agent does not write your product code. Marketing scope is defined in the Marketing Services Agreement.

The kit is provided under the open-source license in the repository LICENSE file. You may use, modify, and distribute it as permitted for commercial products.

You acknowledge: the kit is provided "as is"; you are responsible for your product code, data, and security; third-party services (Clerk, Stripe, Supabase, etc.) have their own terms; we may release updates but do not require you to upgrade.

Agent deliverables may include PRD, design specs, business plans, GTM strategy, and marketing plans. These are for guidance only and are not legal, financial, or investment advice.

You must review Agent output and are responsible for how you use it. Agent services may be purchased via subscription or separate agreement; marketing services are governed by the Marketing Services Agreement.

Some Services require an account. You agree to provide accurate information, keep credentials secure, update your profile, accept responsibility for account activity, and notify us of unauthorized use. We may suspend or terminate accounts for abuse or inaccurate information.

Some Agent or premium features require payment. By subscribing, you agree to pay applicable fees and provide valid payment details.

**Billing**: Monthly or annual per plan.

**Cancellation**: Cancel anytime; effective end of current period; partial-period refunds generally not provided unless required by law.

**Price changes**: We may adjust prices with at least 30 days' notice for material changes.

You may not use the Services to violate laws or others' rights, distribute malware or spam, access systems without authorization, disrupt the Services, use Agent output for fraud or misleading claims, or harm NowBuild or other users.

**NowBuild rights**: Our website, Agent system, templates, and non-open proprietary content remain our IP.

**Your rights**: Your ideas, business data, code you write, and product content remain yours. You grant us a non-exclusive license to use submitted materials solely to provide Agent services.

**Agent output**: Upon payment, you may use deliverables for your venture; we retain underlying methodology rights. Do not resell our proprietary services or brand assets without written consent.

We apply industry best practices but **do not guarantee** specific business results—including funding, revenue, user counts, market share, or product-market fit. You must exercise independent judgment. We are not liable for business losses except where law requires.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOWBUILD IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR TOTAL LIABILITY FOR CLAIMS RELATING TO THESE TERMS SHALL NOT EXCEED FEES YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE CLAIM.

SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION.

We may suspend or terminate access for breach or other reasonable cause. Upon termination, your right to use the Services ends; surviving provisions (IP, disclaimers, liability limits) remain in effect.

These Terms are governed by the laws of NowBuild's place of incorporation. Disputes should be resolved by good-faith negotiation first; failing that, courts or arbitration in that jurisdiction as we publish from time to time.

We may update these Terms; material changes will be posted on this site. Continued use after changes constitutes acceptance.
